1. Acceptance of Terms

By accessing, browsing, registering for, or otherwise using the sorora.health website or the SORORA mobile application, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, as amended from time to time.

If you do not agree to these Terms, you must immediately cease using the website and the SORORA application.

2. Eligibility

SORORA is intended solely for individuals who are eighteen (18) years of age or older, unless otherwise permitted by applicable law and expressly authorised by SORORA.

By creating an account or using the Services, you represent and warrant that:

  • you are at least eighteen (18) years of age;
  • you have the legal capacity to enter into a binding agreement; and
  • all information provided during registration is accurate, complete, and kept up to date.

3. Nature of the Service

What SORORA Provides

SORORA is a digital self-monitoring and personal insight platform designed to assist users in tracking trends relating to mood, sleep, hormonal patterns, cognitive function, and other self-reported wellbeing indicators over time.

The platform is intended to assist users in developing a longitudinal record that may support informed discussions with appropriately qualified healthcare professionals.

Medical Disclaimer

SORORA does not provide medical advice, diagnosis, treatment, clinical decision-making, or emergency healthcare services.

Unless and until specific functionality has been assessed, certified, and authorised in accordance with applicable regulatory requirements (including, where applicable, Regulation (EU) 2017/745 on Medical Devices ("EU MDR")), SORORA is not intended to constitute a medical device, diagnostic system, clinical decision support software, or substitute for professional medical assessment.

Executive Function Scores (EFS), behavioural correlations, predictive indicators, trend analyses, AI-generated insights, and all other outputs generated by SORORA are provided solely for informational and personal self-management purposes.

They should not be relied upon as the sole basis for making healthcare decisions.

Users should always seek advice from an appropriately qualified physician, psychiatrist, psychologist, or other registered healthcare professional regarding any medical or mental health concern.

Users must never disregard, delay, or avoid obtaining professional medical advice because of information presented within SORORA.

Mental Health Emergencies

SORORA is not monitored in real time and is not designed to detect, respond to, or manage medical emergencies or mental health crises.

If you believe you or another person may be at immediate risk of harm, including thoughts of suicide or self-harm, contact your local emergency services or an appropriate crisis support service immediately.

Regulatory Note

The classification of current and future SORORA functionality under the EU Medical Devices Regulation (EU MDR), including any potential Software as a Medical Device (SaMD) obligations, remains subject to specialist regulatory advice.

4. Account Registration

When creating an account you agree to:

  • maintain the confidentiality and security of your login credentials;
  • notify SORORA promptly of any unauthorised use of your account;
  • provide accurate, current, and complete information during registration and ongoing use; and
  • ensure that information submitted remains accurate where reasonably practicable.

The quality, reliability, and usefulness of SORORA's insights are dependent upon the accuracy and completeness of information voluntarily provided by users.

Users may close their account at any time using the account settings or other methods made available by SORORA.

5. Subscription and Payment

SORORA may offer both free and paid subscription plans.

Paid subscriptions may include additional functionality such as:

  • advanced analytical dashboards;
  • AI-assisted insights;
  • clinical report generation and export; and
  • other premium features made available from time to time.

Subscription pricing, available features, supported currencies, and regional availability may vary depending upon the user's jurisdiction and applicable regulatory framework, including reimbursement programmes where available.

Unless otherwise stated:

  • subscriptions renew automatically until cancelled;
  • cancellation takes effect at the end of the current billing period;
  • applicable taxes will be charged where required by law; and
  • refunds will be provided only where required by applicable consumer protection legislation or expressly offered by SORORA.

Clinical report exports may also be offered as separate one-time purchases.

6. User Data and Content

Users retain ownership of all personal information, journal entries, notes, and other content submitted through SORORA.

By submitting such content, users grant SORORA a limited, non-exclusive, revocable licence to process that information solely for the purposes of operating, maintaining, securing, and improving the Services, in accordance with these Terms and the Privacy Policy.

Where SORORA seeks to use de-identified or anonymised information for research, product improvement, or scientific purposes beyond the provision of the Services, this will be subject to an appropriate legal basis and, where required by applicable law, separate informed consent.

7. Acceptable Use

Users must not:

  • use the Services for any unlawful, fraudulent, or abusive purpose;
  • interfere with, disrupt, or compromise the integrity or security of the platform;
  • attempt to reverse engineer, decompile, scrape, copy, or otherwise analyse proprietary algorithms, scoring methodologies, or passive behavioural processing mechanisms except where permitted by mandatory law;
  • access, attempt to access, or interfere with another user's account or personal information;
  • provide false information or impersonate another individual; or
  • misuse the Services in any manner likely to compromise the privacy, security, or rights of other users.

8. Intellectual Property

Unless otherwise stated, all intellectual property rights relating to SORORA, including but not limited to:

  • software;
  • source code;
  • user interface designs;
  • branding;
  • trademarks;
  • logos;
  • databases;
  • Executive Function Score methodology;
  • scoring algorithms;
  • SORORA Engine architecture;
  • neuroprofile models; and
  • associated documentation,

remain the exclusive property of SORORA or its licensors.

Except as expressly permitted under these Terms, no licence or ownership rights are transferred to users.

9. Disclaimer of Warranties and Limitation of Liability

The Services are provided on an "as available" and "as is" basis.

While SORORA endeavours to provide reliable functionality and meaningful analytical insights, no warranty or representation is made that any score, prediction, recommendation, behavioural correlation, or analytical output will be complete, accurate, uninterrupted, clinically valid, or suitable for any particular purpose.

During calibration periods, including the initial onboarding phase, generated insights may be provisional, incomplete, or subject to refinement.

To the fullest extent permitted by applicable law, SORORA disclaims all liability for any loss, damage, injury, or adverse outcome arising from reliance upon information generated by the Services without appropriate professional medical assessment.

Nothing in these Terms excludes or limits liability where such exclusion is prohibited by applicable law, including liability for fraud, fraudulent misrepresentation, gross negligence (where applicable), or death or personal injury caused by negligence where exclusion is legally prohibited.

10. Suspension and Termination

SORORA reserves the right to suspend, restrict, or terminate access to the Services where users breach these Terms, engage in fraudulent activity, compromise platform security, or otherwise misuse the Services.

Users may terminate their account at any time.

The handling, retention, deletion, or anonymisation of personal data following account closure shall be governed by the Privacy Policy and applicable data protection legislation.

11. Amendments to These Terms

SORORA may amend these Terms from time to time to reflect changes in applicable law, regulatory requirements, technology, or the Services.

Where changes materially affect users' rights or obligations, reasonable advance notice will be provided through email, in-app notification, or other appropriate communication channels before such amendments take effect.

Continued use of the Services following the effective date of revised Terms constitutes acceptance of those changes unless otherwise required by applicable law.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland.

Subject to any mandatory rights afforded to consumers under applicable law, the courts of Ireland shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms or the use of the Services.

Nothing in these Terms shall limit or exclude any mandatory consumer rights available under the laws of the user's country of habitual residence, where such protections cannot lawfully be excluded.

13. Privacy and Data Protection

SORORA is committed to protecting the privacy and personal data of its users in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the Irish Data Protection Act 2018, and any other applicable data protection legislation.

The collection, use, storage, disclosure, retention, and other processing of personal data are governed by the SORORA Privacy Policy, which forms an integral part of these Terms.

Users are encouraged to read the Privacy Policy carefully before using the Services.

Nothing in these Terms limits or restricts any statutory rights available to data subjects under applicable data protection legislation, including the rights of access, rectification, erasure, restriction of processing, data portability, objection to processing, and the right to withdraw consent where consent is relied upon as the lawful basis for processing.

Where SORORA engages third-party service providers to process personal data on its behalf, appropriate contractual, technical, and organisational safeguards shall be implemented in accordance with applicable law.

14. Third-Party Services

The Services may incorporate or rely upon products, software development kits (SDKs), application programming interfaces (APIs), cloud infrastructure, payment processors, analytics platforms, authentication services, artificial intelligence providers, or other third-party technologies.

Such third-party services remain subject to their own terms, privacy policies, and contractual conditions.

SORORA shall use reasonable care when selecting reputable third-party providers; however, SORORA shall not be responsible for the availability, security, functionality, or performance of services provided independently by third parties, except where liability cannot lawfully be excluded.

Where third-party services process personal data on behalf of SORORA, such processing shall be carried out in accordance with applicable data protection legislation and appropriate contractual safeguards.

15. Force Majeure

SORORA shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms where such failure results from events beyond its reasonable control.

Such events may include, without limitation:

  • natural disasters;
  • pandemics or public health emergencies;
  • acts of government;
  • changes in applicable law or regulation;
  • cyberattacks;
  • internet or telecommunications failures;
  • cloud infrastructure outages;
  • labour disputes;
  • acts of terrorism; or
  • other unforeseen events beyond SORORA's reasonable control.

Performance of affected obligations shall be suspended only for the duration of the relevant event.

16. Severability

If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid, unenforceable, or void, that provision shall, to the extent necessary, be severed from these Terms without affecting the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between SORORA and the user concerning access to and use of the Services.

They supersede all prior discussions, negotiations, representations, understandings, and agreements relating to the subject matter of these Terms, except where otherwise required by applicable law.

Nothing contained in these Terms shall exclude liability for fraudulent misrepresentation or any other liability that cannot lawfully be excluded.

18. Assignment

Users may not assign, transfer, sublicense, or otherwise dispose of any rights or obligations arising under these Terms without the prior written consent of SORORA.

SORORA may assign or transfer its rights and obligations under these Terms in connection with a corporate restructuring, merger, acquisition, sale of assets, financing transaction, or other legitimate business reorganisation, provided that such assignment does not adversely affect the statutory rights of users.

19. Electronic Communications

By creating an account or using the Services, users consent to receive communications from SORORA electronically, including by email, in-app notifications, or other electronic means.

Such communications may include:

  • service announcements;
  • security notifications;
  • updates to these Terms or the Privacy Policy;
  • billing information;
  • product updates; and
  • notices required under applicable law.

Where marketing communications require consent under applicable law, such communications shall only be sent where the user has provided the necessary consent and may be withdrawn at any time.

20. Feedback and Suggestions

Users may voluntarily provide comments, suggestions, ideas, feature requests, or other feedback relating to the Services.

Unless otherwise agreed in writing, SORORA may use such feedback without restriction and without any obligation to provide compensation, attribution, or acknowledgement to the user.

This provision does not affect the ownership of users' personal data or content submitted through the Services.

Nothing in these Terms restricts a user's right to refer a complaint to the competent supervisory authority, including the Data Protection Commission (Ireland), or to pursue any other remedy available under applicable law.
